Corporate Law & SECP Compliance

Incorporation, governance and regulatory compliance for companies in Pakistan — from first-time founders to established boards.

Overview

A Company Is Only As Strong As Its Paperwork

A registered company is a legal person in its own right — it can own property, sign contracts, sue and be sued. That separate personality is exactly what makes incorporation worthwhile, and it is also what makes compliance non-negotiable. The Companies Act, 2017 and the SECP’s regulatory framework expect every company, from a two-director startup to an established enterprise, to keep statutory registers, hold proper meetings, file annual returns and maintain transparent records.

In practice, most corporate disputes do not begin as disputes at all. They begin as shortcuts: a shareholder understanding that was never written down, board decisions taken in conversation but never minuted, annual filings postponed “until next quarter.” Years later, when money or control is at stake, those shortcuts become the case against you.

Prestige Law Firm handles the full corporate lifecycle — incorporation with the SECP, statutory filings, governance frameworks, shareholder agreements and board advisory — and when relationships break down, disciplined representation in shareholder and regulatory disputes. As retained legal advisor to national and multinational corporations, we bring the same rigour to a first-time founder’s company as to an established group’s subsidiary.

Good governance is not paperwork for its own sake. It is what makes a business investable, bankable and sellable — and it is far cheaper to build at the start than to reconstruct during a dispute.

STEP 04

Maintain

A compliance calendar, periodic reviews and ongoing counsel — so the company never drifts back into default.

Who It's For

Built for Every Stage of a Company

A company’s legal needs change as it grows. Our corporate practice is shaped around four common stages:

  • Founders incorporating for the first time — get the structure right before the first rupee of revenue.
  • Growing SMEs formalising operations — turn informal understandings into enforceable documents.
  • Established companies cleaning up compliance — regularise filings and governance without disrupting business.
  • Investors and partners entering joint ventures — protect capital and control with agreements drafted before commitment.
One principle governs all four: incorporation takes days, but a company’s legal health is built over years. We handle both.

The cheapest dispute is the one your documents prevented. That is why we draft every agreement as if it will one day be read by a judge — because one day, it might be.

Why Prestige

Counsel That Sits With the Board

Corporate law is not just filings — it is judgment. Our clients keep us because we combine the two.

Retained advisor to corporations

We serve as retained legal advisor to national and multinational corporations — the same discipline, applied to companies of every size.

Litigation strength behind the paperwork

Agreements we draft are written to be enforced. When they must be, the same firm argues them — before the SECP, tribunals and courts.

Direct access to the principal

Your matter is led by Asghar Ali himself — Advocate High Court and Senior Legal Consultant — not passed down to a junior.

Incorporating — or Cleaning Up?

Whether you are starting a company or fixing one’s paperwork, the first step is an honest review of where you stand.

FAQ

Common Questions on Corporate Law

How long does company incorporation take in Pakistan?

It depends on name approval, document completeness and SECP processing at the time. No honest adviser can promise a fixed number of days. What we control is our side: complete, correct documentation filed without the errors that cause most delays.

Private limited company or single member company — which is right for me?

It depends on ownership, succession plans and how you intend to raise capital or bring in partners. We assess your situation and recommend the structure that fits — not the one that generates the most paperwork.

What happens if we miss SECP annual filings?

Late filings attract penalties and, if prolonged, can put the company in default with the regulator. The position can usually be regularised. We review your filing history and bring it current.

We started the business with friends — do we really need a shareholder agreement?

Especially then. Written agreements protect friendships by removing ambiguity about money, roles and exits. The best time to draft one is before there is anything to disagree about.

Can a foreign national be a shareholder or director?

Generally yes, subject to applicable conditions and sectoral requirements. We advise on the current position and handle the documentation.

What does retained corporate counsel include?

Ongoing legal advice, review of contracts and documents, a compliance calendar of filing obligations, and representation when issues arise — for an arrangement agreed in advance.
